Website terms and exclusions

Boundaries for public website use.

1. Agreement to these Terms

These Website Terms of Use ("Terms") govern your access to websites operated by Arid Insights LLC ("Arid," "we," "us," or "our"). By using the website, you agree to these Terms. If you do not agree, do not use the website. These Terms govern website use only; a signed engagement agreement governs paid or client-specific work.

2. Informational website; no outcomes promised

The website describes Arid's current decision-support approach and validation work. Website content is general information, not a client deliverable, promise of availability, representation that an opportunity is suitable, or guarantee of any funding, procurement, project, regulatory, commercial, or pursuit outcome. Public records and third-party sources may be incomplete, delayed, corrected, or changed.

3. No professional advice or licensed opinion

Arid does not provide engineering, legal, environmental, accounting, investment, or financial advice through the website. Arid does not offer or hold itself out as providing a licensed engineering or legal opinion. Website content must not replace appropriately licensed, qualified, and client-accountable professional judgment.

4. No client, confidential, or fiduciary relationship

Visiting the website, sending an email, booking a meeting, or participating in an initial conversation does not create a client, fiduciary, confidential, advisory, or other professional relationship. Do not send confidential, privileged, regulated, export-controlled, controlled unclassified, or security-sensitive information through public intake. An engagement begins only when Arid and the client execute a written agreement.

5. Illustrative materials

Evidence records, scenarios, interface elements, and sample language marked illustrative or fictionalized demonstrate structure only. They are not findings about a real organization, program, project, or opportunity and must not be presented as live Arid work.

6. Limited permission to use the website

Subject to these Terms, Arid grants you a limited, revocable, nonexclusive, nontransferable permission to access and use the website for your internal business evaluation. You may print or save reasonable excerpts for that purpose if you retain attribution and all notices. No other license is granted.

7. Prohibited uses

You may not:

• Use the website unlawfully, fraudulently, or to violate another person's rights.
• Misrepresent Arid content, remove limitations or attribution, or imply Arid endorsement.
• Republish, sell, sublicense, or create a competing commercial product from substantial portions of Arid's original website content or presentation.
• Probe, scan, disrupt, overload, circumvent, or attempt unauthorized access to the website or related systems.
• Use automated means to extract substantial website content except ordinary search-engine indexing permitted by our technical controls.
• Upload malware or submit information prohibited by Section 4.

8. Intellectual property

Arid and its licensors retain rights in the Arid name and branding, website design, original copy, taxonomies, templates, methodology expression, selection and arrangement, and other original materials. Public-source facts remain subject to the rights and restrictions applicable to their sources; Arid does not claim ownership of facts merely because it organizes or discusses them. No trademark license is granted.

9. Third-party services and links

The website may link to third-party sources and services, including Calendly. Arid does not control and does not warrant their content, availability, security, accessibility, or privacy practices. A link does not imply endorsement. Third-party terms apply at those destinations.

10. Website availability and changes

Arid may modify, suspend, correct, or discontinue any part of the website without promising continuous availability. Dated or versioned material speaks as of its stated date. Our Corrections & Versioning Policy explains how we handle material corrections to public examples.

11. Disclaimer of warranties

To the fullest extent permitted by law, the website is provided "as is" and "as available." Arid disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, completeness, availability, and results. Some jurisdictions do not permit particular disclaimers, so these limitations apply only to the extent permitted.

12. Limitation of liability

To the fullest extent permitted by law, Arid and its members, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost business, lost data, or reputational harm arising from website use. Arid's aggregate liability arising from the website will not exceed $100. These limits do not exclude liability that applicable law does not allow us to limit.

13. Indemnity

To the extent permitted by law, you agree to defend and indemnify Arid against third-party claims, damages, and reasonable costs arising from your unlawful use of the website, your violation of these Terms, or your infringement of another person's rights. This section does not apply to the extent a claim results from Arid's own unlawful conduct.

14. Governing law and disputes

Florida law governs these Terms without regard to conflict-of-law principles. Before filing a claim, each party will give written notice and allow 30 days for a good-faith effort to resolve it. Any dispute not resolved informally must be brought in the state courts located in Orange County, Florida, or the federal court serving that county, and each party consents to that jurisdiction and venue. Nothing prevents either party from seeking appropriate temporary or injunctive relief.

15. General provisions

If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without Arid's written consent; Arid may assign them as part of a reorganization or transfer of the website or business. These Terms and the Privacy Notice are the complete agreement governing public website use.

16. Changes to these Terms

We may update these Terms prospectively by posting a revised version and changing the date above. Material changes apply after posting or any additional notice required by law. Continued use after the effective date means you accept the updated Terms.
